Trivec sponsor Verdane explores exit options for POS solutions firm via Clipperton

Verdane is exploring strategic options, including a potential sale, for Swedish point-of-sale (POS) solutions provider Trivec, three sources and one person familiar with the situation told this news service.
The sponsor has enlisted Clipperton to oversee the process, three of the sources said, two adding that Verdane began evaluating options last summer.
Trivec recorded around EUR 25m in FY23 revenue, one of the sources and the person said, with the source adding the company is EBITDA positive.
Private equity firms have shown interest in the asset, but many think that it is too small on its own, the person said. Some buyers are considering combining Trivec with one or more other similar players, the person and one of the sources said.
One of the sources named among potential merger candidates independently owned peer Kassacentralen and IK Partners-backed Open, which are also for sale, as reported. Caspeco, which Monterro acquired last year, is also a close peer, as reported.
At the time of publishing, Trivec had a Likely to Exit (LTE) score of 13 out 100, according to Mergermarket’s predictive algorithm*, with the relatively low score influenced by the lack of recent intel on the company.
Open had an LTE score of 44 out 100, weighted by the number of days since the article reporting on its potential sale.
Trivec was negatively impacted by the COVID-19 pandemic, a banker tracking the situation cautioned, but so were all players serving the hospitality sector, one of the sources said. Trivec has since recovered from the hit, the source added.
Verdane acquired a majority stake in Trivec in 2016 and merged it with Belgian Euro Tap Control in 2017.
Trivec offers POS solutions and a beverage system to the European hospitality market, including restaurants, bars, and hotels. Its offer includes POS systems, card payment terminals, mobile devices, and beverage dispensing systems, with integration options for booking, finance, personnel, purchasing, and inventory functions. It has more than 8,000 customers its serves from its offices in Sweden, Norway, Denmark, Belgium, and France.
Verdane, Clipperton, Kassacentralen, and IK Partners (also responding on behalf of Open) declined to comment. Trivec did not respond to requests for comment.
