A service of

Source Logistics to seek food and beverage add-ons

Source Logistics, a provider of warehousing and distribution services to the consumer goods sector with a focus on Hispanic food and beverage brands, expects to acquire multiple businesses following a planning period, said CEO Marcelo Sada.

In a joint interview with Sada and Chris Allen, a partner at PE owner Palladium Equity Partners, the executive and investor told Mergermarket the Montebello, California-based company is in the midst of a 100-day review process, after which the company will begin exploring acquisitions.

Palladium acquired Source Logistics in November for an undisclosed sum. Allen cited growth in cross border trade and increasing consumption of Hispanic food and beverage products in the US as reasons for the acquisition.

Targets include warehousing and logistics providers in the food and beverage industry, according to Sada. Ideal acquisition candidates would provide services to Hispanic food and beverage brands, the executive added, but it would also consider targets outside that niche.

Source Logistics expects to complete multiple add-on acquisitions. Palladium has averaged four add-ons for each platform acquisition it has completed in the past, Allen said.

Acquisitions would also help Source Logistics expand its geographic reach to cities in the southeastern and northeastern US with large Hispanic populations, Sada said. The company has warehousing and distribution centers in California, Oregon, Texas and New Jersey, according to its website.

Sada told Mergermarket in 2011 that Source Logistics was eyeing warehousing and logistics targets that generated between USD 5m and USD 7m in revenue. Allen said that while he would not rule out acquisition candidates in that range, the company would likely look for much larger targets.

“We’d rather invest in a business that moves the needle,” he said.

Source Logistics generated around USD 11m in revenue in 2011, Sada said at the time, but Allen said the company is now approaching USD 100m in revenue. Palladium hopes to double or triple revenue in the coming years, he added.

Founded in 1999 by Sada and co-founders Raul Villarreal and Fernando Ramirez, Source Logistics provides warehousing and distribution services for multinational food and beverage products primarily from Mexico and Latin America.

In 2012, Source Logistics acquired Portland, Oregon-based e-commerce platform Fulfillment Corporation of America for an undisclosed sum.

The company has around 145 full-time employees.

Republic Partners and Foley & Lardner served as financial advisor and legal advisor, respectively, to Source Logistics. William Blair and Morrison & Foerster served as financial and legal advisor, respectively, to Palladium.
