Capvis shortlists second-round bidders in BSI sale

Capvis has shortlisted bidders for the second auction round for Swiss software firm BSI Business Systems Integration (BSI), three sources familiar with the matter said.

Bridgepoint [LON:BPT], CVC Capital Partners [AMS:CVC], Montagu Private Equity, and TA Associates have been admitted to the final phase of the auction for the customer relationship management (CRM) business software specialist, two of these and a fourth source said.

Earlier this month, sellside advisor Houlihan Lokey collected indicative offers that valued the company in the region of CHF 500m, two of the sources added.

Binding offers are expected to be collected on Tuesday 11 June with management presentations taking place this week, a fifth source said.

BSI, which develops and provides CRM software to businesses and advises on digitalisation and platform integration, is being marketed off projected FY24 EBITDA of CHF 28.6m, one said.

Capvis acquired the company in 2020 via its 2018-vintage Fund V. BSI’s management and employees hold a significant minority stake, as previously reported.

BSI acquired Swiss peer inSign from iS2, a subsidiary of the German insurance group die Bayerische, in January 2023. Founded in 1996, the company serves businesses in sectors including banking, insurance, retail, energy and utilities, health, and life sciences, and also offers clinical-trial management software, according to its website.

Representatives for Montagu and Capvis declined to comment. TA Associates, Bridgepoint, BSI, Houlihan Lokey, and CVC did not respond to requests for comment.
